Terms and Conditions

The below terms and conditions outline the agreement between the customer and Adaid. By agreeing to Adaid services, the customer acknowledges and accepts all of these terms and conditions.

1. Costs and Payment

I. All charges quoted to the customer by Adaid must be paid completely in the specified and agreed time period negotiated between Adaid and the customer.
II. Charges, in the form of an official Adaid contract may be provided to the customer in the form of email, letter or fax. Any written form of acceptance of this agreement will bind the customer to the agreement and to the terms and conditions associated with it.
III. All due fees must be paid regardless of the progress or status of a service rendered or due to be rendered. Should Adaid view the customers actions as in violation of the terms of the agreement, services may be suspended or annulled, with the customer remaining liable to the agreed monetary value of the contract unless otherwise specified by Adaid.
IV. Invoices issued by Adaid must be paid completely for the services specified in the invoices and / or the contract. Adaid reserves the right to suspend or not finalize a project or service there are delays in payment of the contract or invoice, until such a time where remaining payments are made.
V. The evaluation of the cost of services rendered will be gauged in accordance with the timeliness of the customers’ submission of relevant and previously agreed and consented upon data to Adaid. Adaid reserves the right to revise charges and fees if the customer delays in the provision of relevant information needed to complete a service. Any un accounted for time spent on a project or a service rendered by Adaid may be charged to the customer at the rate of $65.00 AUD per hour.
VI. Payment may be made to Adaid in the form of a check, cash or bank deposit. Credit card payments may not be accepted.
VII. The final website project, service or goods may not be delivered unless full payment is received in the specified manner. All intellectual property may be retained by Adaid if the contract is not paid in full.
VIII. Design, development, creation or modification work will not commence until a deposit is received by Adaid, whereby actual funds have been transferred into the possession of Adaid.
IX. Adaid reserves the rights to recover all expenses associated in pursuing overdue, late, suspended or unpaid contracts including legal and administrative expenses.
X. Initial costs or agreed upon values may be revised by Adaid in accordance with changes or additional desires of the customer from Adaid.

2. Limitation Of Liability

I. Adaid is not liable or in any way responsible for any content added by Adaid by the request of the customer, or added after the project is complete or the service rendered. All legal and intellectual issues in relation to content on websites created and / or administered by Adaid do not represent the views, opinions or standings of Adaid or Adaid personnel. Adaid is not liable for any legal or intellectual disputes that may arise as a result of the content.
II. Adaid is not liable for any damage, deletion, suspension, theft, corruption, prohibition or elimination of services rendered or goods sold.
III. No services are completely guaranteed or guarded by Adaid. Adaid is not liable for unrealistic or false expectations acquired by the customer in relation to the goods or services supplied or rendered by or through Adaid.
IV. It is the customers responsibility to ensure that aspects of Adaid service meet with the expectations and standards required and agreed upon by the customer with Adaid.
V. The customer agrees that all the information provided to Adaid is not in any way in violation of laws, constitutions, civil rights, copyright infringements or trademarks of any company, identity or separate party. Adaid takes no responsibility to assure that the information and data provided to Adaid meet with these conditions, it is the customers’ responsibility to do so.
VI. Adaid accepts to responsibility for hosting services provided by independent hosting agents or businesses. This includes, delays in up-time and down-time, server functionality or any related issues.
VII. Adaid is not liable for any damages or financial loss sustained by the customer or his/her clients due to hacking, or loss of information from secure or unsecure pages.

3. Suspension and Termination of services

I. Adaid reserves the right to suspend or annul any ongoing or singular activities, services or goods rendered or provided if the customer violates any of the terms of the agreement or the law or fails to make prompt due payment.
II. Any actions (legal or otherwise) undertaken by Adaid against the customer does not exclude the customer from financial or legal liabilities to Adaid and / or the law.

4. Support

I. Adaid agrees to provided limited support to customers for a specified period of time within the contract. Support consists of providing supportive emails, instruction manuals, relevant information, redirection and in some cases (where specified in the agreement), manipulation of data or technical assistance. Adaid is not liable to customer requests for support outside of the agreed period of time specified in the contract between Adaid and the customer. Any support or time spent with the customer outside the obligations of the contract with the customer, will be charged to the customer at a rate of $65 AUD per hour.

5. Intellectual Property

I. All intellectual property created or designed by Adaid always belongs to Adaid, unless otherwise specified.
II. Adaid retains the right to use Adaid created, designed or manipulated products to further the public profile or Adaid. This involves placing images and descriptions of the customers’ products or services sold or rendered by Adaid on the Adaid website, and placing backlines to the Adaid website from the customers’ website.
